Terms
of service.

These Terms govern your access to and use of neighbordigital.co. Paid services and client engagements are governed by a separately signed Client Services Agreement and Statement of Work, which control if there is any conflict with these Terms.

By accessing or using the Site, you agree to these Terms. If you do not agree, please do not use the Site. These Terms cover use of the Site only. Paid services are governed by a separately signed Client Services Agreement and the applicable Statement of Work (SOW), which control if there is any conflict with these Terms.

i.Eligibility

Who can
use the Site.

You must be at least 18 years old, or the age of majority in your jurisdiction, and able to form a legally binding contract to use the Site. By using the Site, you represent that you meet these requirements.

ii.Use of the Site

How you
may use it.

You may use the Site for lawful, personal, or business research purposes. You agree not to:

  • Copy, reproduce, scrape, mirror, or republish substantial portions of the Site without written permission
  • Use the Site to violate any law, regulation, or third-party right
  • Attempt to gain unauthorized access to the Site, our systems, or other users’ data
  • Introduce viruses, malware, or other harmful code
  • Interfere with or disrupt the Site, servers, or networks connected to it
  • Use automated systems (bots, scrapers, crawlers) in a way that imposes an unreasonable load
  • Misrepresent your identity or impersonate any person or entity

We may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including suspected violation of these Terms.

iii.Inquiries are not engagements

Submitting a contact form, scheduling a consultation, or exchanging emails with us does not create a client relationship or a contractual obligation to provide services. A paid engagement begins only when both parties sign a Client Services Agreement and the applicable SOW (or you affirmatively accept a written proposal in writing) and the agreed deposit, if any, is received.

iv.Intellectual property

Intellectual
property.

The Site, including all text, images, graphics, logos, code, designs, layouts, branding, and other content (other than User Submissions described below), is owned by Neighbor Digital or its licensors and is protected by copyright, trademark, and other laws. “Neighbor Digital,” “Neighbor & Co. Digital,” and related marks and logos are trademarks of Neighbor Digital LLC. Nothing in these Terms grants you any license or right to use those marks without our prior written consent.

You may view, print, or download Site content for personal, non-commercial reference only.

v.User submissions

What you
send us.

If you send us a message, project description, brief, file, content, or any other material through the Site or by email (“User Submissions”), you represent that you have the right to share it and that it does not violate any third-party rights or laws. You grant Neighbor Digital a non-exclusive, worldwide, royalty-free license to use, store, copy, and process User Submissions as needed to respond to you, evaluate fit, perform the services, and operate our business.

We do not want to receive unsolicited ideas, business plans, or creative concepts. If you send them anyway, we are free to use them without obligation to you.

vi.Third-party links

The Site may link to third-party websites or services. We do not control them and are not responsible for their content, practices, or terms. Your use of any third-party site or service is at your own risk and subject to that party’s terms and privacy policy.

vii.Disclaimers

Disclaimers.

The Site and any free content, guides, tools, blog posts, downloads, or general information (“Free Content”) are provided “as is” and “as available,” for general informational purposes only. They are not legal, tax, accounting, financial, marketing, design, or technical advice.

To the maximum extent permitted by law, Neighbor Digital disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness, security, error-free operation, and uninterrupted availability of the Site or any Free Content.

We do not guarantee any specific outcome from reading the Site, downloading Free Content, or contacting us.

viii.Limitation of liability

Limitation
of liability.

To the maximum extent permitted by law, Neighbor Digital, its owners, members, contractors, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any lost profits, lost revenue, lost data, or loss of business, arising out of or related to your use of the Site, even if we have been advised of the possibility of such damages.

To the maximum extent permitted by law, our total aggregate liability arising out of or related to your use of the Site is limited to one hundred U.S. dollars (USD $100).

If you are an active paying client, the limitations of liability in your signed Client Services Agreement and SOW control the engagement, not this section.

ix.Indemnification

Indemnification.

You agree to indemnify, defend, and hold harmless Neighbor Digital and its owners, members, contractors, and agents from any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Site; (b) your User Submissions; or (c) your violation of these Terms or any law or third-party right.

x.Privacy

Privacy.

Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

xi.Changes

Changes to
these Terms.

We may update these Terms from time to time. When we do, we will update the “Last Updated” date above. Material changes will be posted on this page and, where appropriate, communicated by other reasonable means. Your continued use of the Site after changes are posted means you accept the updated Terms.

xii.Governing law

Governing law
and venue.

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws rules. Any dispute arising out of or related to these Terms or your use of the Site will be brought exclusively in the state or federal courts located in the State of Wyoming, and you consent to the personal jurisdiction and venue of those courts. If you are a consumer in a jurisdiction with mandatory consumer-protection laws, those laws may also apply to the extent required.

xiii.Miscellaneous

A few
final terms.

Entire Agreement. These Terms, together with the Privacy Policy and any agreement we sign with you, are the entire agreement between you and us regarding the Site, and supersede prior or contemporaneous discussions on the same subject.

Severability. If any provision is held unenforceable, the remaining provisions will remain in effect.

No Waiver. Our failure to enforce a provision is not a waiver of our right to enforce it later.

Assignment. You may not assign these Terms without our written consent. We may assign these Terms to a successor in connection with a merger, sale, or reorganization.

No Agency. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and us.
